Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Koyit LLC, doing business as Looking Later (“Looking Later,” “we,” “us,” or “our”), a California limited liability company. They govern your use of the Looking Later iOS application (the “App”) and our website at lookinglater.com (together, the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Community Guidelines, which are part of these Terms. If you do not agree, do not use the Service.

Please note: Section 15 contains an arbitration agreement and class-action waiver that affect how disputes between you and Looking Later are resolved, including a 30-day right to opt out.

1. Who can use Looking Later

To use the Service you must:

  • be at least 18 years old;

  • be legally able to enter into a binding contract;

  • not be prohibited from using the Service under the laws of the United States or any other applicable jurisdiction;

  • not have been previously banned from the Service; and

  • not have been convicted of, or be subject to registration requirements arising from, a sexual offense or a violent felony.

The Service is for your personal, non-commercial use only. You may maintain only one account.

2. Your account

  • You agree to provide accurate information when creating your account, including your real date of birth, and to keep it accurate.

  • You are responsible for all activity on your account and for keeping your sign-in method (Apple, Google, email, or phone) secure. Notify us immediately at support@lookinglater.com if you believe your account has been compromised.

  • You may not sell, transfer, lend, or share your account, and you may not impersonate another person or create an account for anyone other than yourself.

3. What the Service is (and isn’t)

Looking Later helps adults plan meetups in advance: users post availability (“slots”), request and confirm bookings, chat, share photos, and rate their meetings. The Service is a venue for users to connect. We are not a party to any interaction or meeting between users, and we do not employ, endorse, vouch for, or supervise any user.

We do not conduct criminal-background or identity screenings of our users, and profile information — including photos, stats, and health information — is self-reported by users and not verified by us. We reserve the right (but have no obligation) to run such screenings and to use available tools to detect misconduct.

4. Meeting in person; your safety

You are solely responsible for your interactions with other users, online and offline. Meeting someone in person carries inherent risks. Use your judgment: get to know people before meeting, meet in circumstances you control, tell a friend where you’re going, and never feel obligated to continue an encounter. Review our Community Guidelines for safety practices.

YOU AGREE THAT LOOKING LATER IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, ON OR OFF THE SERVICE, AND THAT YOU USE THE SERVICE AND MEET OTHER USERS AT YOUR OWN RISK.

5. Health information disclaimer

Users may choose to display health information on their profiles, such as HIV status, testing and safety practices, and prevention measures. This information is self-reported and unverified. It may be inaccurate, incomplete, or out of date, and a person’s health status can change at any time.

  • Nothing in the Service is medical advice. The Service does not diagnose, treat, or prevent any condition.

  • Do not rely on profile health information when making decisions about your health or intimacy. You are responsible for your own health decisions and practices, including testing, prevention, and any disclosures required by applicable law.

  • If you choose to display health information on your profile, you are consenting to other users seeing it, and you are responsible for its accuracy.

6. Your content

“Your Content” means everything you submit to the Service: profile details, photos (including private-album photos), messages, slots, reviews, reports, and anything else you post or send.

  • You own Your Content. You represent that you have all rights needed to share it, that it is about you or shared with the permission of anyone depicted, and that it complies with these Terms.

  • License to us. So we can operate the Service, you grant Koyit LLC a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers) license to host, store, reproduce, adapt (for technical purposes such as resizing), transmit, and display Your Content, solely as needed to provide, secure, and improve the Service. This license ends when Your Content is deleted from the Service, except for content retained as described in our Privacy Policy (for example, safety reports).

  • Audience controls are not guarantees. Features like private albums, view-once shares, and expiring shares control what the Service displays — they cannot prevent a recipient from photographing or capturing a screen. Share accordingly.

  • Feedback. If you send us suggestions or feedback, we may use them without restriction or compensation.

7. Prohibited conduct

You agree not to:

  • use the Service if you are under 18, or depict, solicit, or facilitate the sexual exploitation of anyone under 18 (we report child sexual abuse material to NCMEC and law enforcement);

  • harass, stalk, threaten, defame, or abuse anyone, or post hateful content, including content that is racist, transphobic, or otherwise discriminatory;

  • share another person’s private information, images, or health information without their consent, including capturing or redistributing private-album photos, messages, or profile details (“outing” someone or doxxing them);

  • impersonate any person, misrepresent your identity or affiliation, or use photos that are not of you as profile photos;

  • use the Service for commercial sexual services, escorting, human trafficking, or any illegal activity, or to buy or sell controlled substances;

  • send spam, run promotions or solicitations, or use the Service to advertise to users;

  • scrape, harvest, or bulk-collect data from the Service, or access it by any automated means or by any method other than our published App;

  • probe, disable, overburden, reverse engineer, or circumvent any security or access-control measure of the Service, or use another user’s credentials;

  • upload malicious code or content, or interfere with the operation of the Service; or

  • assist or encourage anyone else to do any of the above.

Our Community Guidelines contain additional rules and examples, and are part of these Terms.

8. Reporting, moderation, and enforcement

  • You can block any user, and you can report profiles, photos, or behavior from within the App. Reports are confidential — we don’t tell a user who reported them.

  • We may review content and reports, remove or restrict content, limit profile or photo visibility, suspend or ban accounts, and take any other action we consider appropriate to enforce these Terms — with or without notice. We may preserve evidence related to reports and share it with law enforcement where appropriate.

  • We have no obligation to monitor all content, and moderation decisions are made at our discretion. If you believe we’ve made a mistake, contact support@lookinglater.com.

9. Text messaging terms

If you provide your mobile number for account verification or sign-in, you consent to receive one-time verification codes from Looking Later by SMS. These are transactional messages sent only at your request; we do not send marketing texts. Message and data rates may apply, and frequency varies with your login activity. Reply HELP for help or STOP to opt out (opting out may require you to use a different sign-in method). Mobile numbers and SMS consent data are never shared with third parties for marketing, as described in our Privacy Policy.

10. Purchases and subscriptions

The Service is currently free to use. We may introduce paid features or subscriptions in the future. Any purchase will be processed by Apple through your App Store account and governed by Apple’s payment and refund terms, and we will present pricing and renewal terms in the App before you buy.

11. Third-party services

The Service depends on third-party services, such as Apple (sign-in, notifications, App Store), Google (sign-in, device attestation), Supabase (infrastructure), and Twilio (SMS delivery). Your use of those services is subject to their own terms, and we are not responsible for them. Links or invitations shared through the Service may lead outside it; we are not responsible for external content.

12. Our intellectual property

The Service — including the App, website, design, logos, wordmarks, and all software and content we created — belongs to Koyit LLC or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App on your iOS device for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Service, except as these Terms allow.

If you believe content on the Service infringes your copyright, send a notice with the information required by 17 U.S.C. § 512(c)(3) to support@lookinglater.com.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY CONTENT OR INFORMATION (INCLUDING OTHER USERS’ PROFILES AND HEALTH INFORMATION) IS ACCURATE, COMPLETE, OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Limitation of liability; indemnity

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOYIT LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR PERSONAL INJURY OR EMOTIONAL DISTRESS ARISING FROM YOUR USE OF THE SERVICE OR FROM INTERACTIONS OR MEETINGS WITH OTHER USERS — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — including liability for death or personal injury caused by negligence, or for fraud — and if you are a consumer in the European Economic Area, the United Kingdom, Australia, New Zealand, or Canada, nothing in these Terms limits your non-excludable statutory rights (including, for Australian users, the consumer guarantees under the Australian Consumer Law). Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. You agree to indemnify and hold Koyit LLC harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from Your Content, your use of the Service, your interactions with other users, or your violation of these Terms or of any law or third-party right.

15. Dispute resolution and arbitration

Please read this section carefully — it affects your legal rights.

  • Informal resolution first. Before filing a claim, you agree to contact us at support@lookinglater.com and try in good faith to resolve the dispute informally for 60 days.

  • Binding arbitration. Except as provided below, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in San Francisco, California, or remotely at your election, and judgment on the award may be entered in any court of competent jurisdiction.

  • Class-action waiver. You and Koyit LLC each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding. Disputes may be brought only on an individual basis.

  • Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property or for unauthorized access to the Service. Nothing in this section waives claims that cannot be waived under applicable law, including any right to bring a public injunctive relief claim in California.

  • 30-day opt-out. You may opt out of this arbitration agreement by emailing support@lookinglater.com with the subject “Arbitration Opt-Out” within 30 days of first accepting these Terms, stating your name and the email or phone number on your account. Opting out does not affect any other part of these Terms.

  • Consumers outside the United States. If you are a consumer residing in a jurisdiction whose laws make this arbitration agreement, the class-action waiver, or our choice of California law unenforceable as to you (including the EEA, the UK, Australia, New Zealand, and Canada), those provisions apply only to the extent permitted by the laws of your country of residence, and you retain any mandatory right to bring claims in your local courts under your local law.

  • Severability. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court, with the remainder in arbitration.

16. Termination

You may stop using the Service and delete your account at any time from within the App. We may suspend or terminate your account, or discontinue the Service, at any time — including if we believe you have violated these Terms, pose a risk to other users, or are under 18. Sections that by their nature should survive termination (including Sections 5, 6 (license for retained safety content), and 12–15, and 18) survive.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the App or by email before they take effect and update the “Last updated” date above. Changes to Section 15 (arbitration) will not apply to disputes that arose before the change. Your continued use of the Service after changes take effect means you accept the updated Terms.

18. General terms

  • Governing law. These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. For disputes not subject to arbitration, you and we consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California. If mandatory consumer-protection law of your country of residence provides otherwise, that law prevails to the extent of the conflict.

  • Entire agreement. These Terms, the Privacy Policy, and the Community Guidelines are the entire agreement between you and Koyit LLC regarding the Service.

  • Severability. If any provision is found unenforceable, the rest remain in effect.

  • No waiver. Our failure to enforce a provision is not a waiver of it.

  • Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.

  • App Store terms. Your use of the App is also subject to Apple’s standard Licensed Application End User License Agreement to the extent applicable; Apple is not responsible for the Service and is a third-party beneficiary of this section.
